1. The service
VentureFract is software for venture firms to manage deal flow, investment committee decisions, portfolio companies, funds and reporting to limited partners (LPs). Features available to you depend on your plan, described on our pricing page.
2. Accounts and firms
You must provide accurate information and keep your sign-in details secure. The person who creates a firm is responsible for it, for the people they invite (teammates, founders and LPs), and for the roles they give them. You are responsible for activity under your account. Tell us promptly if you suspect unauthorised access.
You must be at least 18 and have authority to bind the firm you register.
3. Your data
You own the information you put into VentureFract ("Customer Data"), including deal, portfolio, fund and LP information. You give us only the permission needed to host, process and display it to the people you choose, to operate and secure the service, and to provide support you request. We do not sell Customer Data and do not use it to train models offered to others. You are responsible for having the right to upload it, including any personal information of founders, LPs and others, and for your own legal and regulatory obligations to them.
3A. Applicants and enrolled startups
If you use cohorts (public application pages, applicant email, standard terms and weekly check-ins), you are responsible for having a lawful basis to contact the people who apply and the startups you enrol, for the questions you ask and the messages and terms you write, for answering requests from applicants and startups about their information, and for keeping the information only as long as you need it. We send only the emails the product describes: one confirmation email to an applicant, decision emails you choose to send to confirmed addresses, and weekly check-in emails to the active startups you enrol. Do not use these features for unsolicited marketing. The terms tracker and the decision emails are your record of what you sent and what was answered; they are not legal advice and not an electronic signature service. You can delete an applicant's data, with their check-in answers and links, from the application, and you should do so promptly when someone asks.
4. Acceptable use
Do not use the service to break the law, to infringe others' rights, to upload malicious code, to attempt to access another firm's data, to probe or disrupt the service, to resell it without our agreement, or to send unsolicited bulk messages. API keys are credentials: keep them secret and use them within the limits of your plan.
5. Not investment, legal or tax advice
VentureFract is a record-keeping and workflow tool. Calculations such as IRR, TVPI, DPI, RVPI, ownership and fees are produced from the information you enter; you are responsible for checking them before relying on them or sharing them with LPs. Nothing in the service is investment, legal, tax or accounting advice. VentureFract is not a broker-dealer, does not introduce investors to companies, and does not handle investment transactions or hold funds.
6. Plans, billing and renewal
Paid plans are billed in advance through our payment processor, Stripe, at the prices shown when you subscribe, plus any usage-based charges your plan describes (for example extra seats or vehicles beyond what the plan includes). Plans renew automatically each period until cancelled. You can change plan or cancel at any time from Billing in the app; cancellation takes effect at the end of the current paid period and we do not provide pro-rated refunds for unused time unless the law requires it. Prices may change for future periods with at least 30 days' notice. Taxes are added where required.
If a payment fails we will notify you and retry. Persistent non-payment limits the account as described in section 7.
Firms that have not subscribed can explore the product within the free limits shown at sign-up. We may change those limits with notice.
7. Cancellation, read-only access and closure
When a subscription ends, your workspace stays available in read-only mode for 90 days so you can view and export your information; you cannot add or change records during that time. You can reactivate from Billing at any point to restore full access. After the 90 days the workspace is closed to members and remains closed until reactivated. After closure we delete or anonymise Customer Data on your written request, and in any event keep it no longer than we need to meet legal obligations and to run backups, which age out on their normal cycle.
If a payment remains unpaid, the workspace is read-only after 7 days past due and closed after 30 days past due, on the same terms.
8. Availability and support
We work to keep the service available and to fix problems quickly, but we do not guarantee uninterrupted or error-free operation. We may perform maintenance and may change or retire features, giving notice where a change materially reduces what your plan offers.
9. Confidentiality and security
We protect Customer Data with the measures described on our security page and keep it confidential, disclosing it only as you direct, to service providers acting for us under confidentiality obligations, or where the law requires. You must keep any information you access through the service about other parties confidential as appropriate to your own agreements.
10. Intellectual property
VentureFract, its software and its branding belong to VentureFract Inc. and its licensors. We grant you a limited, non-exclusive, non-transferable right to use the service during your subscription. If you send us feedback we may use it without obligation to you.
11. Warranties and liability
The service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim implied warranties, including merchantability and fitness for a particular purpose. We are not liable for indirect, incidental, special or consequential damages, or for lost profits, lost data or business interruption. Our total liability for any claim relating to the service is limited to the amount you paid us in the 12 months before the event that gave rise to it. Nothing in these terms limits liability that cannot be limited by law.
12. Suspension and termination
You may stop using the service at any time. We may suspend or end access if you materially breach these terms, if your use puts the service or other customers at risk, or if the law requires, and will give notice where practical.
13. Changes to these terms
We may update these terms. For material changes we will notify account owners by email or in the app before they take effect. Continuing to use the service afterwards means you accept the updated terms. The date above shows the current version.
14. General
These terms, with the Privacy Policy, are the whole agreement between you and VentureFract about the service. If a provision is unenforceable the rest continues. You may not assign these terms without our consent; we may assign them in connection with a merger or sale of the business. These terms are governed by the laws of the jurisdiction in which VentureFract Inc. is incorporated, and the courts of that jurisdiction have exclusive jurisdiction, except where mandatory local law gives you other rights.
